TRAINING, EXTERNSHIP, AND FINANCING AGREEMENT

TERMS AND CONDITIONS

  • 1. Acceptance of this Agreement - As a participant (“You”) agree to the terms and conditions, obligations, representations, warranties, and agreements contained herein (the “Agreement”) with NLCR (“We").
  • 2. Training - As a part of our Services offered, You will be attending an online face-to-face 2-hour class every other week with experienced clinical research staff at NLCR who will go over the practical aspects of the research assistant/coordinator job followed by assignments and online independent training. The duration of the training is 3 months. The media’s use is Lectures, PowerPoint presentations/Slides, Question and answers, Reading, Quizzes, Short videos, and activities. Any additional external training courses recommended to the trainee will be at the trainee’s own expense and is not expected to be more than $75
  • 3. External Website Links/Resources - Trainee may be directed to external websites for additional useful information/courses. Any fee associated with such websites will be the trainee’s sole responsibility. Third-party links are not affiliated with NLCR and we have no control over them. We are not responsible for examining or evaluating any such content and will not have any liability or responsibility for any third-party materials or websites, or for any other material, products, or services of third parties. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction.  Complaints, claims, concerns, or questions regarding third-party products should be directed to the third party.
  • 4. Usage of Personal Information of Participants - You will be attending live classes with other trainees in the group so your personal information including name, email, and phone number may be visible to others. We may use Your personal information to communicate with you in the future on our company’s updates. However, We shall not distribute or share Your personal information with any third-party marketing database or disclose Your personal information to any third party unless required under any applicable law.
  • 5. Limitation of Liability - The disclaimer of liability contained in this clause applies to any and all damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of records or any other material, whether for breach of contract, negligence or under any other cause of action.
    You hereby specifically acknowledge that We are not liable for any defamatory, offensive, wrongful, or illegal conduct of third parties, or other users of our services and that the risk of damage or injury from the foregoing rests entirely with each user.
    You agree that Our liability or the liability of Our affiliates, directors, officers, employees, agents, and licensors if any, arising out of any kind of legal claim (whether in contract, tort, or otherwise) in any way connected with the Services shall not exceed the fee you paid to Us for the particular training.
  • 6. Term and Termination - This Agreement will become effective upon Your acceptance of the terms of this Agreement by you signing and, subject to the terms and conditions of this Agreement, will remain in effect till the training is completed, or until terminated by Us, whichever is earlier. We reserve the right to terminate this Agreement and dismiss the training with immediate effect by sending a written notice through email to You to this effect (“Immediate Termination Date”) if such termination is made as a result of Your misrepresentation, default, misconduct, or breach of Your obligations related to or under this Agreement (“Event of Default”). On the occurrence of any Event of Default, we shall be authorized to exercise all the rights and remedies under this Agreement or applicable Law or available in equity to seek indemnification for any Loss or Claim resulting from any such Event of Default.
    The provisions of above clauses 4.2, 5, and 8 of this Agreement shall survive the termination of this Agreement.
  • 7. Indemnity - You agree to indemnify and hold Us, our contractors, licensors, directors, officers, employees, and agents, harmless from and against any and all claims, losses, damages, liabilities, and expenses including attorneys’ fees, arising out of Your unauthorized use of our or any violation or breach of this Agreement or any provisions hereof.
  • 8. Waiver - Neither failure nor delay on the part of any party to exercise any right, remedy, power, or privilege hereunder shall operate as a waiver thereof, or of the exercise of any other right, remedy, power, or privilege. No term of this Agreement shall be deemed waived, and no breach consented unless such waiver or consent shall be in writing and signed by the party claimed to have waived or consented. No waiver of any rights or consent to any breaches shall constitute a waiver of any other rights or consent to any other breach.
  • 9. Severability - In the event, any provision of this Agreement is held invalid or unenforceable under the applicable laws of Illinois, the remaining provisions shall continue in full force and effect, and the Agreement shall be deemed to be reformed by replacing such invalidated or unenforceable provision with a valid and enforceable provision that gives the effect as closely as possible to the intentions of the parties as expressed by the invalidated or unenforceable provision.
  • 10. Governing Law and Jurisdiction - For all the Participants, this Agreement shall be governed by and construed in accordance with the Laws of Illinois, Illinois shall have the exclusive jurisdiction over any matter relating to, in connection with, or arising out of, this Agreement.
  • 11. Amendment and Assignment - We reserve the right to unilaterally amend or modify this Agreement without giving any prior notification to You. We shall however notify you through email or phone or text so that You are aware of the revisions, modifications, and amendments made by Us to this Agreement.
    You are not permitted to assign this Agreement, or the rights and obligations mentioned in this Agreement to any third party, and You only shall be held liable for any breach of this Agreement or any terms and conditions hereof.
  • 12. Entire Agreement - This Agreement, along with the privacy policy, refund policy, rescheduling policy, terms of use, and any additional guidelines, rules, and/or disclaimers herein and posted on our website constitutes the entire agreement governing your use of our services and supersedes any prior agreements, if any, relating to any matter dealt with in this Agreement.
  • 13. Speakers - Speakers including but not limited to Guest Speakers, Guest Instructors, and Ambassadors, who may use our platform for presentations are expected to present data that is accurate, relevant, and does not violate copyright. The opinions of the speakers are of their own and do not reflect the opinion of the Organization. The speakers are expected to have obtained all necessary licenses and permissions for any third party intellectual property including, but not limited to, music, video, or other media are shown as part of their presentation; the organization is not responsible for investigating or confirming third party rights are being violated. The speakers are also expected to present in a professional and civil manner.
  • 14. Integrity- NLCR values its mission as a training institution. Trainees are expected to be honest in all aspects of their training. All trainee work is evaluated with the assumption that the work presented is the trainee’s own. All work submitted is to be a representation of a trainee’s own understanding. Anything less is unacceptable and is subject to disciplinary action. Consequences of dishonesty/misconduct may include, but are not limited to, any or all of the following steps depending on the severity of the violation: 1) verbal warning; 2) written plan for improvement; 3) training failure; or 4) dismissal from the training program.
  • 15. Externship- A four to six weeks externship is offered to trainees to gain some hands-on experience in the real world. The externship includes role play, clinical work, and work with actual subjects participating in active clinical trials. The externship is optional and depends upon the trainee’s location. The externship fee is paid separately if the trainee chooses to go under the externship program. Our externship locations are provided in partnership with leading clinical trial providers and are set in medical offices and have all the required staff, equipment, and supplies to train our trainees and perform the studies. Please note that participation in the externship program does not entitle the trainee to employment with the Facility that extends beyond their participation in the externship at the Facility.

15.1 Conduct Policy:

All trainees are expected to act maturely and are required to respect other trainees and NLCR staff members during online sessions as well as to the staff at the externship locations.

The following positive behavior is expected from all trainees:

• Be ethical always and maintain the integrity and accuracy of data all the time

• Work as a team player and create a positive work environment

• Use professional language and always remain calm. Abusing, and yelling won’t be acceptable.

• Appropriate problem resolution.

• Trainee will follow the dress code and training days/hours set by the externship facility during the externship.

Any proven violation of our conduct policies may lead to permanent dismissal from the online training program and/or externship.

15.2 Externship Screening and Eligibility Requirements 

The externship is arranged at a medical facility that actively has clinical trials up and running. The trainee will be required to sign HIPAA confidentiality agreements and be allowed to review records that clinical research staff has access to. The trainee must conduct himself or herself professionally at all times and act according to the standards of conduct and work rules that all the employees of the host facility adhere to. The externship is subject to the onboarding requirements of the medical facility hosting the externship.

Instructional topics are presented in varying order depending on the flow of the trials taking place at the externship site.

15.3 Externship expectations:

Trainees will shadow research subject visits throughout the day over various studies. Shadowing experience may include, but is not limited to, exposure to in-take forms, patient interaction, informed consent process, observing clinical procedures, collecting and processing lab samples, and data collection. Trainees will be provided with the real protocols to review and help the site with recruiting eligible patients. They will help research staff with various research activities at a site such as study documentation, regulatory paperwork, monitoring visits, data submission, etc. The fundamentals and skills learned in the online training will be applied and reinforced while getting hands-on valuable experience in a medical setting working on a real clinical trial.

16. Job search assistance: While assisting our trainees with resume building, job search, and helping prepare for interviews, we make no guarantee, expressed or implied, of future employment.

17. Testimonials: Trainee may be asked to give testimonials in writing or in the recorded video (the “Testimonial”) that may be used in connection with publicizing and promoting the NLCR. If You give a testimonial, You authorize NLCR to use your name, your picture, and brief biographical information, and copy, exhibit, publish or distribute the Testimonial for purposes of publicizing the NLCR training program or for any other lawful purpose. The testimonials may be used in printed publications, multimedia presentations, on websites, or in any other distribution media. You agree that by giving the testimonial, You will make no monetary or other claims against the NLCR for the use of the testimonial.

18. Financing- Trainees may choose to pay the Training/Externship fee in installments. For trainees who choose to pay the fee in installments, a separate Payment plan document with scheduled payment amounts and due dates for installments will be shared with trainees for review and signatures. No interest will be applicable for any of the installments when paid on/before due dates. A stripe invoice will be sent to the trainee prior to the due date to make a payment. The organization reserves the right to drop any trainee from the training course in case the trainee has not paid the installments on/before the due date with a notice (email/text/letter) and without making any refunds for the payments already made. 

19. REFUND AND CANCELLATION POLICY

REFUND POLICY

Below are the terms and conditions that govern the Refund Policy. When you choose to start training with NLCR, you agree to our Privacy Policy, Terms and Condition, and the points below.
Refunds • Refunds of the online training fee and/or externship fee are not allowed once paid.

Exception to no refund policy: Externships fees are only refundable if the availability of medical facility changes and NLCR is not able to reschedule and/or find a replacement in a one-month period.

CANCELLATION POLICY

Admission of a candidate can be canceled by NLCR under the following circumstances:


    • if the illegitimate information is provided by the candidate.
    • if a complete fee is not paid.
    • if at any time it becomes known that the minimum eligibility criteria are not met.
    • if the code of conduct as laid down by NLCR is not adhered to.

20. PRIVACY POLICY

At NLCR, we care about the confidentiality and security of your personal information. We will use commercially reasonable efforts to keep your Personal Information secure in compliance with this Privacy Policy. “Personal Information” is defined below. As used in this Privacy Policy, “we,” “us,” and “our” refer to NLCR.

This Privacy Policy only applies to information that we collect through our Website (the “Site,” which consists of all content and pages located within the www.nlcresearch.com web domain) and does not apply to information that we may collect from you in other ways (for example, this policy does not apply to information that you may provide to us over the phone, by fax, or through conventional mail).

  • 1. Information Practices: We assure you that all our material if any we share with you via email will be virus-free. However, we can accept no liability for damages resulting from virus infection.

    After completion of the training, we may use your information to contact you via email or telephone, typically to get feedback, to inform you about updates, or provide support on any issues, if you do not want us to contact you, you can unsubscribe at any time by emailing us at info@nlcresearch.com
  • 3. Cookie Information If you visit or contact us through our website, we do not use cookies.
  • 4. Training: All the training material is provided for the purpose of support and guidance only. The training material is regularly reviewed and is subjected to change without notice. NLCR reserves the right to modify training content without notice.
  • 5. Sharing your personal information: If you are training with us, we may ask you for your reviews, photos, videos for testimonials and if you authorize us, we will display your testimonial on our website or our social media channels such as Facebook, Instagram, LinkedIn, Twitter, YouTube, Google, or our website. You should be aware that your publicly identifiable information could be used to send you promotional, unsolicited messages. We are not responsible for the personal information which you have chosen to display.
    If you do not want us to feature your testimonial on our website or on our social media channels, you can write an email to info@nlcresearch.com, and we will remove and delete your testimonial.
  • 6. Changes to Privacy Policy: These privacy policy terms may change from time to time, and we reserve the right to change the terms of this privacy policy at any time.
    When we update the privacy policy, those will be updated on our website.
